KD Connect Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of KD Connect services. By creating an account, subscribing, or using our platform, you agree to these Terms. Please review them carefully.

1. Acceptance of Terms

Welcome to KD Connect. These Terms and Conditions ("Terms") constitute a legal agreement between you ("Client," "you," or "your") and KD Connect LLC ("KD Connect," "we," "us," or "our"). By creating an account, subscribing to our services, or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to any part of these Terms, you may not use our services. Your continued use of KD Connect constitutes ongoing acceptance of these Terms as they may be updated from time to time.

2. Description of Services

KD Connect provides remote virtual assistant services tailored to real estate professionals, including but not limited to: task management, lead follow-up, CRM data entry and updates, listing coordination support, marketing material preparation, social media post drafting, transaction coordination assistance, scheduling, and general administrative support.

Specific services available depend on your selected plan and credit allocation. Services are performed by trained virtual assistants assigned to your account ("VAs"). KD Connect reserves the right to substitute VAs as needed to maintain service quality and continuity.

KD Connect is NOT a licensed real estate brokerage. Our VAs are administrative support personnel and are not licensed real estate agents or brokers. VAs will not perform any activity that requires a real estate license under applicable law (including but not limited to negotiating contracts, providing real estate advice, representing buyers or sellers, or holding open houses). All licensed real estate activities remain the sole responsibility of you and your brokerage.

3. Eligibility and Account Registration

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use KD Connect. By creating an account, you represent and warrant that all information you provide is accurate, complete, and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify KD Connect immediately of any unauthorized use of your account. KD Connect is not liable for any loss or damage arising from your failure to safeguard your credentials.

Each subscription is for a single user or designated team. Sharing access with parties outside your business is prohibited unless authorized in writing.

4. Subscription, Billing, and Payment

KD Connect operates on a recurring subscription model. By subscribing, you authorize KD Connect to charge your designated payment method on a monthly basis at the rate disclosed at the time of purchase.

Subscriptions automatically renew at the end of each billing period until canceled. Pricing for renewal is the rate then in effect, which may differ from your initial subscription rate. KD Connect will provide reasonable advance notice of any pricing changes.

All fees are quoted in US Dollars and are exclusive of any applicable taxes. You are responsible for any taxes assessed on your subscription. Failed or declined payments may result in immediate suspension of service until payment is received. Repeated failures may result in account termination.

5. Credits and Service Allocation

Plans include a monthly allocation of credits, with each credit representing a unit of VA work as defined in your plan documentation. Credits are valid only within the billing cycle in which they are issued and DO NOT roll over to subsequent months unless explicitly stated in writing.

If you exceed your monthly credit allocation, additional tasks may be performed as "overflow" at the per-task rate disclosed in your plan or at the time the task is submitted. By submitting tasks beyond your allocation, you authorize KD Connect to bill you for overflow usage.

Tasks marked as "rush" or requested outside standard turnaround times may incur additional fees as disclosed at the time of request. KD Connect reserves the right to refuse or delay tasks that exceed reasonable scope or fall outside the services covered by your plan.

6. Cancellation and Refunds

You may cancel your subscription at any time through your client portal or by emailing support@kdconnect.co. Cancellation takes effect at the end of your current billing period. You will retain full access to services through the end of the paid period.

KD Connect does not offer refunds for partially used billing periods, unused credits, or services already rendered. All sales are final once a billing cycle has begun.

If you believe a billing error has occurred, you must notify KD Connect at billing@kdconnect.co within 30 days of the disputed charge. Refunds are issued at the sole discretion of KD Connect on a case-by-case basis.

KD Connect reserves the right to suspend or terminate your account immediately for material breach of these Terms, including but not limited to non-payment, misuse of services, or violation of the Acceptable Use policy. No refund will be issued in such cases.

7. Client Responsibilities

You are solely responsible for the accuracy, legality, and quality of any content, instructions, credentials, or materials you provide to KD Connect or your VA team ("Client Materials"). You represent and warrant that you have all rights necessary to share Client Materials with KD Connect and that they do not infringe on any third-party rights.

You are responsible for reviewing all work product before it is published, sent, distributed, or used. KD Connect is not liable for errors, omissions, or consequences arising from work product that has been delivered to you for review and subsequently used without your inspection.

You are responsible for ensuring that all marketing, communications, and outreach activities performed on your behalf comply with applicable law, including but not limited to: - Fair Housing Act and state fair housing laws - TCPA (Telephone Consumer Protection Act) and Do Not Call (DNC) regulations - CAN-SPAM Act - Real estate licensing and advertising regulations in your jurisdiction - MLS rules and policies - NAR Code of Ethics (if you are a Realtor)

8. Acceptable Use

You agree not to use KD Connect services to: - Engage in any unlawful activity or to facilitate the unlawful activity of others - Send unsolicited communications in violation of TCPA, CAN-SPAM, or DNC regulations - Engage in housing discrimination or fair housing violations - Misrepresent your identity, licensure status, or affiliation - Submit content that is fraudulent, defamatory, harassing, or obscene - Infringe on the intellectual property, privacy, or publicity rights of others - Attempt to reverse-engineer, exploit, or disrupt the KD Connect platform - Solicit, recruit, or hire KD Connect VAs directly outside of the platform during your subscription and for 12 months following termination

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without refund and may result in legal action.

9. Confidentiality and Data Security

KD Connect treats your business information, client data, transaction details, and any materials you share as confidential. We do not sell your data and we do not share your information with third parties for marketing purposes.

Your VA team is bound by written confidentiality obligations. VAs may not disclose your information outside the scope of their assigned work and are required to maintain reasonable security practices when handling your data.

You acknowledge that you may share information about your real estate clients (consumers) with KD Connect in the course of receiving services. You represent and warrant that you have the necessary consents, agreements, and legal basis to share such consumer information for the purposes of receiving VA services. You agree to indemnify KD Connect against any claim arising from your unauthorized sharing of consumer data.

KD Connect maintains administrative, technical, and physical safeguards designed to protect your data, but cannot guarantee absolute security. You are responsible for promptly notifying KD Connect of any compromised credentials or suspected security incidents.

10. Intellectual Property

You retain all ownership of Client Materials and any work product specifically created for you by your VA team using your Client Materials. Upon delivery and full payment, ownership of the deliverables (such as drafted social posts, flyers, or CRM entries) transfers to you.

KD Connect retains all rights, title, and interest in the KD Connect platform, software, training materials, SOPs, templates, branding, and any general-purpose tools or processes used to deliver services. You may not copy, redistribute, or commercially exploit KD Connect's proprietary materials.

You grant KD Connect a limited license to use your business name and logo for the sole purpose of identifying you as a client internally and on your VA's task records. KD Connect will not publicly market with your name or testimonials without your written permission.

11. SMS, Email, and Communications Consent

By creating an account and subscribing to KD Connect, you expressly consent to receive recurring SMS messages and emails from us at the phone number and email address you provide. This consent is given as part of your account setup and is not a condition of any purchase. Standard message and data rates may apply.

The categories of messages you may receive include: - Account and security notices (verification codes, password resets, billing alerts) — required for service and cannot be turned off while your account is active - Task and workflow updates from your assigned VA team (status changes, completion notices, requests for information) - Reminders and scheduling confirmations (kickoff calls, deadlines, follow-ups) - Service announcements (new features, maintenance windows, plan changes) - Optional product updates and tips, only if you opt in separately in your portal settings

Message frequency varies based on your account activity and selected preferences. Typical activity is 2–10 messages per week.

You may opt out of non-essential SMS at any time. Reply STOP to any text message from KD Connect to unsubscribe. Reply HELP for assistance, or contact support@kdconnect.co. Opting out of SMS does not cancel your subscription, and account-critical communications may continue via email so we can deliver the service you have paid for.

You can manage granular notification preferences (email, SMS, in-portal) at any time in your client portal under Settings → Notifications. KD Connect will not share your phone number or SMS consent with third parties for marketing purposes — see our Privacy Policy for full data handling details.

This SMS opt-in is not a condition of purchase.

12. Service Availability and Turnaround

KD Connect aims to deliver services with reasonable speed and quality but does not guarantee specific turnaround times unless explicitly stated in writing for a given task. Standard operating hours are Monday through Friday, 9:00 AM to 6:00 PM Eastern Time, excluding US federal holidays.

Tasks submitted outside of standard hours will generally be acknowledged the next business day. Rush tasks are accommodated when possible and may incur additional charges as disclosed at submission.

KD Connect may experience occasional service interruptions due to maintenance, third-party outages, staff transitions, or events outside our reasonable control. We are not liable for delays caused by such interruptions.

13. Disclaimer of Warranties

KD CONNECT SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KD CONNECT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KD CONNECT MAKES NO WARRANTY THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TASKS WILL BE COMPLETED TO ANY SPECIFIC OUTCOME OR LEVEL OF SUCCESS. KD CONNECT DOES NOT WARRANT ANY BUSINESS RESULTS, INCLUDING BUT NOT LIMITED TO LEAD CONVERSION, LISTING APPOINTMENTS, OR CLOSED TRANSACTIONS.

Our VAs are trained administrative support staff, not licensed real estate professionals, attorneys, or financial advisors. Nothing produced by your VA team should be relied upon as legal, financial, or licensed real estate advice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KD CONNECT, ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST COMMISSIONS, LOST OPPORTUNITY, OR LOSS OF GOODWILL, ARISING FROM YOUR USE OF KD CONNECT SERVICES.

KD CONNECT'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO KD CONNECT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this limitation may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless KD Connect, its officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: - Your use of KD Connect services - Your Client Materials, instructions, or content - Your violation of these Terms or applicable law - Your violation of any third-party rights, including but not limited to consumer privacy, fair housing, advertising, or licensing regulations - Any task you publish, distribute, or execute after KD Connect has delivered work product to you for review

16. Termination

Either party may terminate this agreement at any time: - You may cancel your subscription as described in Section 6 - KD Connect may terminate or suspend your account immediately for material breach, non-payment, abusive behavior, or violation of the Acceptable Use policy

Upon termination, your access to the client portal will end at the conclusion of your final paid billing period. KD Connect will retain transaction records as required by law and may delete other account data after a reasonable retention period.

Sections 7 (Client Responsibilities), 9 (Confidentiality), 10 (Intellectual Property), 13 (Warranties), 14 (Liability), 15 (Indemnification), and 18 (Governing Law) survive termination.

17. Modifications to Terms

KD Connect reserves the right to modify these Terms at any time. Material changes will be communicated via email or through your client portal at least 14 days before they take effect, except for changes required by law or that benefit the client, which may take effect immediately.

Your continued use of KD Connect after the effective date of modified Terms constitutes acceptance of the new Terms. If you do not agree, your sole remedy is to cancel your subscription before the modified Terms take effect.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of California, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of KD Connect services shall first be addressed through good-faith negotiation between the parties. If a dispute cannot be resolved within 30 days of written notice, the parties agree to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in California, and judgment on the award may be entered in any court of competent jurisdiction.

You and KD Connect agree to bring any claim only in your or its individual capacity and not as a plaintiff or class member in any class, collective, or representative action.

19. Miscellaneous

These Terms, along with any plan documentation and order forms expressly incorporated by reference, constitute the entire agreement between you and KD Connect with respect to the subject matter hereof and supersede all prior agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

KD Connect's failure to enforce any right or provision shall not be deemed a waiver. You may not assign or transfer your rights under these Terms without KD Connect's prior written consent.
